Corporate Associate - Full-time

Required Qualifications:

• 3-5 years in corporate law

• Juris Doctorate degree

• Must be licensed in Pennsylvania

• Legal research and technical writing skills, including proficiency with legal research tools including WestLaw

• Strong academic and employment credentials

Job Description

• Conduct legal research and analysis related to corporate transactions

• Conduct due diligence

• Draft and negotiate transaction documents and legal opinions including shareholder agreements, stock purchase agreements, and merger agreements

• Entity formation

• Advise clients on corporate governance and corporate disclosure matters

• Coordinate document execution

• Ensure compliance with applicable laws and regulations
