Job summary

You will actively participate in deal execution from structuring and diligence through negotiation and closing, gaining hands-on experience with sophisticated transactions across diverse industries.

Qualifications

• 3 to 6 years of experience in corporate law at a law firm.
• Experience with mergers and acquisitions and/or venture capital transactions.
• Strong drafting and negotiating transactional documents.
• Licensed to practice law in at least one U.S. jurisdiction.

Responsibilities

• Draft, review, and negotiate complex transactional documents for mergers, acquisitions, and financing activities.
• Support all phases of corporate transactions, including due diligence, structuring, negotiation, and closing.
• Advise clients on corporate governance matters and general corporate law issues.
• Assist with venture capital financings and related investment transactions.
• Manage and coordinate due diligence processes and transaction timelines.
• Collaborate with internal teams and external stakeholders to execute transactions efficiently.
• Assist with securities law compliance and related regulatory obligations.
• Work directly with clients to provide practical, business-oriented legal advice.
