Qualificações

• JD from a US law school is required.
• 3–6 years of M&A, private equity or capital markets experience at a leading law firm.
• Strong drafting and deal-management skills are essential.
• Healthcare, life sciences or technology sector experience is a plus.

Responsabilidades

• Run buy-side and sell-side M&A, including purchase agreements and closing mechanics.
• Advise private equity sponsors on platform and add-on acquisitions and exits.
• Work on IPOs, follow-ons, PIPEs and registered direct offerings for public/pre-IPO companies.
• Manage 10-K, 10-Q and 8-K reporting and related securities obligations.
• Coordinate due diligence with tax, IP, employment and regulatory teams.
• Mentor junior associates and manage day-to-day client relationships.

The corporate group acts for sponsors, portfolio companies, growth businesses and public companies on M&A, private equity and capital markets work, often alongside top-tier healthcare and technology specialists.

Candidates in Boston are equally welcome, as the team works seamlessly across both East Coast offices.

The opportunity

The firm is hiring into two streams: M&A and private equity, and securities and capital markets. You'll get real ownership of transactions and direct client contact, in a collaborative culture known for training and retention. Pay follows the market scale. What you'll be doing

• Running buy-side and sell-side M&A, including purchase agreements, disclosure schedules and closing mechanics
• Acting for private equity sponsors on platform and add-on acquisitions, minority investments and exits
• Advising public and pre-IPO companies on IPOs, follow-ons, PIPEs and registered direct offerings
• Managing 10-K, 10-Q and 8-K reporting, Section 16 and proxy compliance
• Coordinating diligence and specialist input from tax, IP, employment and regulatory colleagues
• Mentoring junior associates and handling day-to-day client relationships

What we're looking for

• JD from a US law school and active US Bar admission (ideally NY or MA)
• 3 to 6 years of M&A, private equity or capital markets experience at a leading law firm
• Strong drafting and deal management skills
• Healthcare, life sciences or technology sector experience is a plus
