Qualifications

  • Experience managing corporate registrations and professional licensing across multiple states strongly.
  • Experience with corporate governance, records retention, legal document production, and compliance audits.

Responsibilities

  • Coordinate corporate registrations and foreign qualifications across jurisdictions where GMB conducts business.

Job description

The Corporate & Compliance Paralegal provides comprehensive legal, corporate governance, licensing, records management, and compliance support to GMB Powerline Services, LLC. Reporting to the Assistant General Counsel, this position is responsible for independently coordinating and maintaining the Company's multi-state corporate registrations, contractor and professional licenses, corporate governance records, records retention program, legal document production, and SOC compliance documentation. This position serves as a key point of coordination between Legal and other business functions to ensure regulatory filings, licenses, corporate records, and compliance requirements are accurately maintained and completed within required deadlines. The successful candidate will be highly organized, detail-oriented, proactive, and capable of independently managing multiple recurring compliance obligations across numerous jurisdictions.

Key duties and responsibilities:
Corporate Registrations & Entity Compliance
  • Manage state corporate registrations and foreign qualifications for jurisdictions in which GMB conducts business.
  • Prepare, submit, track, and maintain annual and biennial reports, amendments, registrations, renewals, withdrawals, and other required corporate filings.
  • Maintain a centralized corporate compliance calendar and proactively manage all filing and renewal deadlines.
  • Coordinate filings and requests with Secretaries of State, Departments of Revenue, registered agents, and other governmental agencies.
  • Obtain and maintain certificates of good standing, certificates of existence, certified corporate documents, and related records.
  • Research registration and qualification requirements associated with entering new jurisdictions or expanding Company operations.
  • Coordinate and maintain registered agent services and related records.
Contractor, Electrical & Professional Licensing
  • Manage state and local contractor, electrical, utility, and other professional licenses required to support GMB operations.
  • Prepare and coordinate new license applications, renewals, amendments, qualifying-party documentation, and related regulatory filings.
  • Maintain a centralized licensing database identifying license numbers, classifications, qualifying individuals, expiration dates, renewal requirements, continuing education requirements, bonds, insurance requirements, and other conditions.
  • Monitor expiration and renewal dates and proactively initiate renewals to prevent interruptions to business operations.
  • Coordinate with qualifying individuals and internal departments to obtain signatures, certifications, experience verifications, continuing education documentation, and other required materials.
  • Research contractor and professional licensing requirements associated with new states, municipalities, customers, projects, and scopes of work.
  • Provide licensing documentation for bids, customer prequalification packages, audits, and other business requirements.
Corporate Governance
  • Maintain GMB's official corporate governance records and legal entity documentation.
  • Maintain formation documents, operating agreements, amendments, ownership records, resolutions, written consents, delegations of authority, powers of attorney, organizational records, and related governance materials.
  • Assist the Assistant General Counsel with preparation of resolutions, written consents, officer certificates, delegations, and other governance documentation.
  • Maintain organized and complete electronic corporate record books.
  • Coordinate execution, notarization, certification, and distribution of corporate documents.
  • Support documentation necessary to maintain appropriate corporate separateness and governance practices.
  • Assist with new entity formations, reorganizations, acquisitions, dissolutions, and other corporate transactions as assigned.
Records Retention & Information Governance
  • Coordinate and administer the GMB Records Retention Program and associated retention schedules.
  • Maintain and periodically update records retention schedules in coordination with Legal and applicable business functions.
  • Assist departments with the identification, classification, retention, archival, and appropriate disposition of Company records.
  • Coordinate periodic records retention reviews and authorized records disposition.
  • Administer legal holds at the direction of counsel, including notices, acknowledgments, tracking, reminders, and releases.
  • Maintain documentation supporting legal holds, retention activities, and authorized records destruction.
  • Promote consistent electronic filing, document management, and information governance practices throughout the organization.
Document Production & Legal Support
  • Coordinate document collection and production associated with litigation, subpoenas, government inquiries, audits, claims, investigations, discovery requests, and other legal matters.
  • Work with internal departments and employees to identify, preserve, collect, and organize responsive documents and electronically stored information.
  • Organize, index, review, and maintain documentation associated with legal matters.
  • Maintain document production and matter tracking logs.
  • Assist the Assistant General Counsel and outside counsel with discovery, document requests, factual research, and litigation support.
  • Assist with preparation and coordination of affidavits, declarations, certifications, and other legal documents.
SOC & Compliance Support
  • Support GMB's SOC compliance program, including control documentation, evidence collection, testing support, audit preparation, and remediation tracking.
  • Maintain organized repositories of policies, procedures, control evidence, certifications, and supporting compliance documentation.
  • Coordinate with control owners throughout the organization to obtain required evidence and documentation within established deadlines.
  • Maintain compliance calendars and track outstanding requirements, exceptions, remediation items, and corrective actions.
  • Assist with preparation for internal and external audits and compliance reviews.
  • Maintain complete and audit-ready documentation demonstrating execution of applicable controls.
  • Assist with periodic review and updating of policies, procedures, and supporting documentation.
Legal Department Support
  • Maintain legal and compliance calendars, trackers, databases, and electronic repositories.
  • Establish and maintain standardized processes for recurring legal filings, licensing renewals, governance documentation, and compliance requirements.
  • Conduct regulatory and legal research and prepare summaries for the Assistant General Counsel.
  • Coordinate responses to requests for legal entity, licensing, governance, and compliance information from customers, auditors, insurers, lenders, government agencies, and internal stakeholders.
  • Assist with contract, policy, and legal document administration as assigned.
  • Proactively identify upcoming deadlines, missing documentation, compliance gaps, and potential risks and elevate matters to the Assistant General Counsel as appropriate.
Other:
  • Perform other duties as assigned to support departmental and organizational goals, including tasks outside of the primary job function as operational needs evolve.
Qualifications
Required:
  • Minimum of three (3) years of corporate paralegal, in‑house legal, licensing, corporate governance, regulatory compliance, or comparable experience
Preferred:
  • Associate's or bachelor's degree in Paralegal Studies, Legal Studies, Business Administration, or related discipline
  • Paralegal certificate from an accredited program
  • Experience managing corporate registrations and professional licensing across multiple states strongly
  • Experience with corporate governance, records retention, legal document production, and compliance audits
  • Experience within the utility, construction, infrastructure, energy, engineering, or another highly regulated industry strongly
  • Experience supporting SOC compliance or similar internal control/audit frameworks
Physical & Travel Requirements:

Travel of up to 10% may be required, including occasional overnight travel to GMB corporate offices, business meetings, audits, regulatory or licensing matters, and other Company locations. Limited short-notice travel may be required based on business or legal needs. A valid driver’s license and the ability to travel by vehicle and air are required.

This position is primarily remote and office-based, requiring extended periods of sitting, computer use, electronic document review, and verbal and written communication. The employee must be able to operate standard office equipment and occasionally lift or carry files, records, or other materials weighing up to 25 pounds.

Storm Duty & Operational Support Requirement

As a company supporting critical infrastructure and emergency response operations, all employees share a responsibility to support storm restoration and emergency response efforts when activated. Storm duty may require extended hours, travel to affected areas, and temporary reassignment of duties to meet operational needs. While on storm duty, employees may be required to assist in functions outside of their regular role or department to support restoration, logistics, safety, or administrative efforts. Flexibility, teamwork, and a willingness to respond where needed are essential components of employment.
