Overview

We are seeking a Contracts Manager with a proven background in contract review, compliance, and lifecycle management. This role will focus on reviewing and managing contracts with vendors and clients, tracking critical deadlines, and supporting the firm’s risk mitigation strategies. Reporting to the firm’s Risk Counsel, the Contracts Manager will bring a detail-oriented and proactive approach to maintaining contract integrity and supporting firmwide legal compliance.

Key Responsibilities Include
  • Review and analyze vendor contracts, including Master Service Agreements, SaaS Agreements, Order Forms, Statements of Work, and NDAs, as well as client engagement documents such as Outside Counsel Guidelines, Billing Guidelines, and Expert Agreements.
  • Monitor and track contract deadlines, ensuring timely execution of renewals, amendments, and terminations.
  • Utilize the firm’s contract management software to maintain a current and accurate database, streamline workflows, and generate reports.
  • Ensure compliance with firm policies and manage risks associated with third-party vendors and client contracts.
  • Communicate with internal and external stakeholders to clarify and negotiate contract terms.
  • Address and resolve issues that arise during the contract lifecycle, using sound judgment to escalate concerns when appropriate.
  • Support continuous improvement of contract processes and risk mitigation strategies.
Our Ideal Candidates Will Have
  • A bachelor’s degree.
  • Experience in a law firm or legal department (preferred).
  • A minimum of 3 years of experience in contract management, with a focus on reviewing contracts and tracking deadlines.
  • Proficiency in contract management software.
  • Excellent negotiation, analytical, and communication skills.
  • Strong attention to detail and ability to manage multiple tasks and priorities.
  • Certification in contract management (e.g., Certified Professional Contract Manager - CPCM) (preferred).
  • Working knowledge of compliance and risk management principles.
  • Hybrid work model available, with regular in-office presence in Minneapolis expected.

The salary range for this position in Minneapolis is estimated to start at $75,000 - $115,000 / year. The compensation offered will be dependent on the candidate’s experience, skills, education, professional background, overall qualifications, and geographic market location.
