Job summary

Beeline Medicines, a clinical-stage biotechnology company focused on precision therapies for autoimmune and inflammatory diseases, seeks an Associate Corporate Counsel, Contracts. The role supports drafting, reviewing, and negotiating commercial agreements while partnering with Procurement, R&D, and other business functions.

Hybrid work with on-site requirements. JD and active bar license required, with 5 years of contracts/transactional experience in life sciences.

Qualifications

• JD degree and active bar membership required.
• 5 years of relevant contracts/transactional experience in life sciences preferred.
• Strong knowledge of commercial contract law and life sciences agreement types.
• Familiarity with contract lifecycle management systems.
• IP and confidentiality considerations in commercial agreements.
• Understanding of risk allocation and indemnification concepts in vendor/CRO contracts.
• Ability to work independently and escalate risk when needed.
• Strong judgment for high-volume contracting requests.
• Ability to improve templates and playbooks for scalable legal support.
• Strong drafting, negotiation, and client-counseling skills.
• Ability to explain contractual risk and options to non-legal stakeholders.
• Effective at building cross-functional relationships.

Responsibilities

• Draft, review, and negotiate a variety of commercial agreements including CDAs, MSAs, CRO/vendor agreements, and consulting agreements.
• Partner with Procurement, R&D, and other business functions to support contracting needs and timelines.
• Maintain and improve contract templates, playbooks, and negotiation guidelines.
• Advise stakeholders on contractual risk, obligations, and compliance considerations.
• Support the contract lifecycle management system with accurate tracking and record-keeping.
• Assist with due diligence and contract review for business development and licensing transactions.
• Escalate higher-risk or novel contract issues to senior leadership as appropriate.
• Perform other duties and responsibilities as assigned.
