Job summary

The Contracts Lead at The Depository Trust & Clearing Corporation (DTCC) will handle initial legal review and negotiate agreements for goods and services. This role collaborates with Business Units, Strategic Sourcing, Legal, and Control Groups to ensure compliant, favorable contract terms.

Qualified candidates will have 4+ years in contracts, strong drafting/negotiation skills, and knowledge of regulatory risk.

Qualifications

  • 4+ years of related experience in contracts and procurement.
  • Bachelor's degree preferred or equivalent experience.
  • Strong drafting and negotiation skills with complex terms.
  • Knowledge of risk and regulatory considerations in purchasing goods/services.

Responsibilities

  • Partner with Strategic Sourcing and Procurement to select contract templates or standard clauses.
  • Conduct redline reviews of proposed agreements and draft nonstandard terms.
  • Negotiate with suppliers on proposed agreements.
  • Coordinate with Legal, Control Groups, and SMEs to ensure compliant terms.
  • Communicate clearly with business units and stakeholders.
  • Maintain and update contract templates and standard clauses per regulatory guidance.
  • Advise on post-contract issues and drive key projects across the department.
  • Maintain professional standards and manage risk in day-to-day duties.
  • Support firm-wide initiatives and handle assigned duties as needed.

The Impact You Will Have In This Role

The Contracts Lead is responsible for the initial legal review, and ultimate negotiation, of proposed agreements for the purchase of goods and/or services in collaboration with the Business Unit, Strategic Sourcing, Legal, and Control Group(s) as necessary.

Your Primary Responsibilities
  • Partner with Strategic Sourcing and Procurement to select the appropriate Contract Template or Standard Clause(s) for proposed agreements.
  • Conduct redline review of proposed agreements of various complexities, including the drafting of nonstandard commercial and legal terms.
  • Participate in negotiations with Suppliers regarding proposed agreements.
  • Liaise with TPR, Control Group(s), and Subject Matter Experts, as necessary.
  • Ensure clear and prompt communication with Business Unit, Strategic Sourcing, Legal, and Control Group(s), as necessary.
  • Keep current with law, regulations, and regulatory guidance as needed to integrate appropriate terms into proposed agreements and provide upkeep to Contract Templates and Standard Clauses.
  • Consult on post-contract issues, as necessary.
  • Drive select, special projects in support of Departmental and Firm-wide initiatives.
  • Perform other duties as assigned.
  • Consistently demonstrates the values, shows composure under pressure and maintains high professional standards in all situations.
  • Aligns risk and control processes into day to day responsibilities to monitor and mitigate risk; escalates appropriately
Qualifications
  • Minimum of 4 years of related experience
  • Bachelor's degree preferred or equivalent experience
Talents Needed for Success
  • Demonstrate a thorough level of capabilities and proven track record of success working with Sourcing principals and methodologies, preferably for a global financial services firm.
  • Highly specialized knowledge of principles, practices, and procedures of contract drafting and negotiation, and the liabilities and risks associated with the acquisition of goods, services, and technology.
  • In-depth knowledge of the risk and regulatory environment to analyze impact of medium to high complexity sourcing projects.
  • Thorough understanding of the Firm structure, standards, and business objectives.
  • Provide succinct and clear communication, both written and verbal, to a wide variety of audience, including writing clear and unambiguous contract terms.

The salary range is indicative for roles at the same level within DTCC across all US locations.
