About the role

The Contracts Administrator / Corporate Transactions Paralegal will support our legal and business operations. This role is critical in drafting, negotiating, and managing a wide range of agreements, including confidentiality agreements, consulting agreements, material transfer agreements, master services agreements (and related scopes of work), clinical trial agreements, and sponsored research agreements. The ideal candidate will have experience in contract management systems and overseeing the contract request process and central contract repository. This individual must be able to work independently while collaborating with internal stakeholders and external legal counsel on complex agreements

Essential Functions

  • Draft, negotiate, and manage client-specific agreements, including consulting agreements, master services agreements, clinical trial agreements, and sponsored research agreements, using company templates.
  • Oversee contract management processes, ensuring efficient execution and compliance.
  • Track and monitor obligations under executed agreements to ensure continued compliance.
  • Develop and maintain strong relationships with internal stakeholders and external parties, including legal and executive-level contracts.
  • Support license and collaboration transactions, including due diligence, deal closing, and post-closing activities.
  • Assist with corporate governance matters such as annual stockholder meetings, proxy statements, and Board minutes.
  • Respond to internal inquiries related to executed agreements and provide guidance on contract terms.
  • Perform other legal and corporate-related tasks as needed.

Qualifications

  • Bachelor’s degree in a relevant field
  • Paralegal Certificate
  • Significant experience drafting, negotiating, and managing contracts within the life sciences industry.
  • Experience handling contract lifecycle management systems and overseeing contract workflows.
  • Ability to work independently, applying technical expertise, good judgment, and creative problem-solving skills. o Strong attention to detail, organizational skills, and ability to manage multiple priorities.
  • Client-focused approach with a flexible, adaptable attitude toward work assignments and learning.

153,000 - 180,000 USD per year (Remote (United States))
