Job summary

Merative in the United States is seeking a Contract Engagement Advisor who thrives at the intersection of strategy, analytics, and real-world impact. This remote role supports enterprise contracting activities.

Responsibilities include drafting, reviewing, redlining, and negotiating data agreements, SaaS contracts, master agreements, NDAs, and related vendor agreements, coordinating with sales, legal, compliance, and finance.

Qualifications

  • Bachelor’s degree required with 10 years of drafting, negotiating and consulting on contracts.
  • Experience drafting and negotiating data agreements, SaaS agreements, NDAs, including complex transactions.
  • Strong drafting and negotiation skills with attention to detail and stakeholder collaboration.

Responsibilities

  • Draft, review, redline, and negotiate a broad range of contracts including data, SaaS, MSAs, SOWs, BAAs, NDAs, teaming, vendor and independent contractor agreements.
  • Coordinate contract review with in-house counsel, sales, compliance, finance, and information security.
  • Help manage playbooks, templates, and clause libraries to optimize contracting processes.

Your expertise will help turn massive amounts of healthcare data into clear, actionable strategies that drive better outcomes and smarter decisions. How you will contribute:* Learn and understand Truven's products, business model, strategy, culture, etc. to develop a deep understanding of the business and support its revenue goals through contracting activities.* Initiate, review, redline, and efficiently negotiate a broad range of transactional contracts including data agreements, SaaS agreements, master agreements, SOWs, BAAs, trial agreements, NDAs, teaming agreements, independent contractor agreements, and vendor agreements.* Support Truven by efficiently managing standard and complex contracts.* Drive competitive bid efforts through the evaluation of RFIs and RFPs, identification of issues and provision of subject matter expertise bid response.* Analyze contract terms and conditions, evaluate prior terms, determine the need for amendments or renewals, and negotiate revisions within guidelines using contract playbooks.* Coordinate contract review and collaborate with internal SMEs and functional leads (in house counsel, sales, compliance, finance/accounting, information security, etc.) to provide guidance on contract terms and risks.* Develop strong business relationships with key internal stakeholders including Truven leadership, and external parties such as customers and suppliers.* Assist with managing playbooks, templates, processes and clause libraries to optimize enterprise contracting processes.* Work with existing contract management systems and identify, implement and support improvements and new technologies.* Perform other duties and responsibilities as needed.What you will bring:* Bachelor's Degree plus 10 years of experience drafting, negotiating and consulting on contracts.* Experience in working with data privacy issues and agreements.* Experience in healthcare technology, technology software & services or healthcare.* Excellent drafting and negotiation skills and demonstrated ability to close complex transactions.* Practical, business-driven problem solver with proven ability to manage competing priorities.* Exceptionally detail oriented, with a sense of urgency and high-quality work with minimal supervision.* Unwavering commitment to customer service for internal and external clients.* Exceptional interpersonal, verbal and written communication skills.* Advanced skills with Microsoft Word and PowerPoint; experience with CRM and CLM tools.What we would love to see:* Experience working in Salesforce, Docusign or similar tools* Experience providing training or education to internal clients* Experience in driving organizational change and improvements* Experience with government contracts and procurement processesWhat We Offer:* **A team connected by a bigger purpose** — mission-driven, transforming healthcare through trusted analytics* **A culture rooted in collaboration and kindness** — mutual respect and genuine teamwork* **A place to build and grow your career** — learning never stops, every challenge is a chance to grow* **A total rewards package that reflects our values** — competitive benefits, annual bonus, PTO, remote flexibility and more **Compensation**The salary range provided in this job posting is intended to reflect the general market value for the position.
