Job summary

Colibri Group is seeking an Associate Counsel - Contracts to support drafting, review, redlining, and negotiation of commercial agreements on customer and vendor sides. You will work with the legal team to ensure timely contract preparation and compliance with obligations.

The role targets attorneys with 1-2 years of relevant experience who can handle routine matters within guidance, develop commercial judgment, and escalate higher-risk issues as needed.

Qualifications

• Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 1-2 years of relevant legal experience, preferably involving commercial contracting.
• Experience drafting, reviewing, redlining, or negotiating commercial agreements.
• Experience using AI-enabled tools for contract review, drafting, redlining, or analysis is preferred.
• Strong analytical and legal research skills with close attention to detail and accuracy.
• Excellent written and verbal communication skills, including the ability to explain legal and contractual issues clearly to non-lawyers.
• Ability to organize and prioritize work effectively, manage multiple matters, and meet deadlines.
• Sound judgment, a willingness to seek guidance and grow independence as experience increases.
• Proficiency in Microsoft Office and ability to learn contract management software and related tools.
• Demonstrated ability to work collaboratively with legal and business teams across the organization.

Responsibilities

• Draft, review, redline, and negotiate routine and moderately complex contracts.
• Review terms for clarity, risk, and policy alignment; escalate high-risk issues.
• Participate in negotiations and support execution of agreements.
• Review indemnification, liability, termination, IP, privacy protection, security, and related terms.
• Maintain communication with Senior Contract Attorney on risk and strategy.
• Translate business requirements into appropriate contract terms with stakeholders.
• Support lifecycle from intake to execution, including approvals and recordkeeping.
• Use contract management systems and AI tools to assist review, drafting, and analysis.
• Conduct legal research and share findings with the team.
• Exercise judgment within policy, escalating as needed, and improve templates and processes.
