Job summary

Addison Group is seeking a skilled attorney to join its Denver-based corporate and healthcare practice. The role focuses on drafting, reviewing, and negotiating a broad array of commercial agreements, providing practical guidance to non‑legal stakeholders, and shaping risk and compliance considerations throughout the contracting lifecycle.

Qualifications

  • J.D. from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 4+ years of relevant legal experience in corporate, commercial contracting, healthcare law, or related practice area.
  • Strong experience independently drafting, reviewing, and negotiating contracts from start to finish.
  • Strong understanding of core commercial contract provisions, including indemnification, limitation of liability, termination, representations and warranties, confidentiality, and data use.
  • Excellent communication skills and the ability to provide practical legal guidance to non-legal stakeholders.
  • Strong business judgment and ability to manage multiple priorities in a fast-paced environment.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of commercial and corporate agreements.
  • Support payer/provider agreements, reimbursement arrangements, and other healthcare-related commercial relationships.
  • Draft and negotiate MSAs, SOWs, and other agreements supporting MSO and PC-MSO structures.
  • Draft and negotiate BAAs and other HIPAA-related data-sharing and services agreements.
  • Provide legal guidance on contract structure, risk allocation, indemnification, limitations of liability, termination provisions, regulatory representations, and data use.
  • Support secured transactions, UCC filings, lien-related matters, and other financing/security arrangements as needed.
  • Partner with operations, provider relations, compliance, finance, and executive leadership to structure and execute business transactions.
  • Advise internal stakeholders on contract interpretation, obligations, risk, and dispute prevention.
  • Assist with healthcare regulatory considerations related to contracting (HIPAA, Stark, Anti-Kickback, Medicare/Medicaid, state regulations) in coordination with compliance.
  • Develop and maintain contract templates, playbooks, clause libraries, and standardized workflows.
  • Help improve legal processes and contract management practices as the company scales.
  • Work with outside counsel when specialized legal support is required.
