Job summary

Ashurst Perkins Coie US LLP seeks a Conflicts Attorney to advise on client terms, engagement letters, and outside counsel guidelines, balancing legal risk with commercial priorities. You will work with firm lawyers and internal stakeholders to craft practical, mutually acceptable agreements that protect the firm’s interests.

The role requires a JD with US licensure, 5+ years in law firm or professional services, and strong negotiation and risk skills.

Qualifications

• J.D. with a US license and bar admission.
• 5+ years of legal practice in a law firm or professional services environment.
• 2+ years in compliance, risk management, in-house, or contract-focused work.
• Experience reviewing and negotiating client-drafted contracts or engagement terms.
• Strong judgment in legal, commercial, and risk areas.

Responsibilities

• Review client engagement terms, outside counsel guidelines, NDAs, codes of conduct, and related agreements.
• Advise on legal, commercial, operational, and risk implications of proposed terms.
• Lead or support client and firm negotiations, suggesting practical revisions.
• Identify risks and partner with experts, management, and GC on solutions.
• Review changes to standard terms and advise on deviations.
• Serve as risk/compliance resource for questionnaires and RFPS.
• Guide other Conflicts Attorneys and Analysts on complex terms.
• Develop and improve negotiation strategies, workflows, and documentation.
• Ensure terms and commitments are documented in auditable fashion.
• Monitor regulatory developments and update policies accordingly.
• Lead or support projects in risk, compliance, or contract tech.
