Compliance Director – Private Equity (Credit Investment Funds)

A rare opportunity to own a sophisticated private credit compliance program, work directly with investment and board leadership, and build alongside a deep, established compliance team.

Our client, a globally established alternative investment manager, is adding a Compliance Director to serve as the primary compliance partner for its expanding Private Credit business. The platform spans public and perpetual-life BDCs, private funds, separately managed accounts, CLOs and direct-lending strategies. Reporting directly to the Chief Compliance Officer for the BDC and Private Credit businesses, this person will have meaningful authority over program design, transaction guidance, board reporting and the continued scaling of the compliance framework.

The timing is especially compelling. Private Credit is an active growth engine for the firm, with substantial new capital, billions of dollars deployed across middle-market investments, an expanding BDC franchise and continued growth across liquid and structured credit. This is not a static program or a maintenance-only role. As the business adds capital, investment activity and product complexity, the new Director will gain broader exposure, increasing visibility and genuine career runway alongside the platform.

Highlights

This is a high-ownership position, but it is not a one-person compliance shop. The broader function is led by an experienced Chief Compliance Officer with dedicated compliance heads across major investment and functional areas, multiple Director-level peers, junior professionals, outside counsel and specialist consultants.

The result is a rare combination at this level: autonomy without isolation. The Compliance Director will be empowered to help lead the Private Credit program, build a visible internal brand and exercise independent judgment, while still having an experienced bench available to pressure-test complex issues and support major initiatives. Prior compliance interview processes have consistently involved senior compliance leaders, functional heads, Director peers and junior team members, reflecting the breadth and connectivity of the group.

Scope
  • Lead the design, implementation, testing and annual review of the Investment Company Act Rule 38a-1 compliance program for the BDC complex, together with the associated Advisers Act Rule 206(4)-7 framework for the Private Credit adviser.
  • Sit close to the investment process, advising portfolio managers and deal teams on live transactions, co-investment activity, affiliated transactions, the firm’s exemptive order and other Investment Company Act considerations, including Sections 17, 55 and 57.
  • Serve as a visible compliance resource to senior leadership and the BDCs’ independent directors. Prepare and present quarterly and annual board materials, lead examination readiness, oversee service providers and outside counsel, strengthen policies and testing, and guide junior team members.
  • The variety is a major part of the appeal. One day may involve a time-sensitive co-investment analysis for a new transaction; the next may focus on a board presentation, regulatory inquiry, service-provider review, expense allocation question, marketing communication or longer-term program enhancement. This is substantive, judgment-intensive work with a direct connection to how the business invests and grows.
Qualifications

The ideal candidate will bring strong compliance experience within an investment adviser, registered fund complex, private fund manager, asset management law practice or the SEC. Meaningful experience designing, managing or materially supporting a Rule 38a-1 compliance program is essential.

This person should have strong command of the Investment Company Act, particularly co-investment, affiliated-transaction and fund-governance requirements, along with the credibility to present to boards and advise sophisticated investment professionals.

The strongest fit will be rigorous without being rigid: proactive, commercially practical, highly collaborative and comfortable making sound decisions in a fast-moving environment.
