Job summary

Davis Polk & Wardwell LLP is seeking a Compliance Attorney to support the General Counsel’s Office with engagement letters, client questionnaires, codes of conduct, NDAs, and external communications compliance. You will liaise with vendor management, review vendor contracts, and assist with conflicts analysis for lateral attorney hires.

Evening and weekend coverage may be required. Your role involves monitoring engagement letters and client guidelines, preparing responses, and maintaining

Responsibilities

• Engagement Letter Compliance: review and monitor engagement letters, maintain repository, consult with counsel, assist in preparation.
• Client Outside Counsel Guidelines Review: review guidelines, draft responses, monitor status, maintain repository.
• Client Questionnaires, Codes of Conduct, NDAs: review due diligence questionnaires, terms/conditions, mark-up NDAs and advise.
• Business Development Compliance: tracking client marketing restrictions, monitor inquiries, develop training materials, address advertising issues, train staff.
• Vendor Management Office Contract Review: liaise with VMO, advise on risk provisions in contracts.
• Lateral Attorney Conflicts Analysis: review conflicts reports, identify risks, draft waiver letters, implement ethical walls.
