Alembic is seeking a Commercial Counsel to own Alembic’s commercial contracting end to end, reporting to the Head of Corporate Legal. You’ll be the go-to legal contact for Sales, Finance, Partnerships, Security and Infrastructure to move deals forward.

You’ll build templates, negotiate master agreements and partner papers, and ensure terms align with business needs while protecting data and security obligations.

Qualificações

• Juris Doctor and active California bar in good standing.
• 5–9 years in commercial and technology transactions, with in-house time.
• Strong track record negotiating enterprise SaaS and data agreements with Fortune 100.
• Fluency in data protection and security contracting (GDPR/CCPA/DPAs).

Responsabilidades

• Own the enterprise deal desk: negotiate master agreements, order forms, DPAs, security exhibits and NDAs.
• Create templates, fallback positions, and escalation paths to speed deals.
• Structure and negotiate reseller, co-sell, SI and strategic alliance agreements.
• Lead the legal aspects of infrastructure, data licensing, and vendor terms for the platform.
