Job summary

Larson Maddox represents a privately held AI infrastructure company seeking a Commercial Counsel to support global business operations and growth. The attorney will work with business, finance, product, and leadership teams to negotiate complex agreements and develop scalable contracting processes.

The role reports to the General Counsel and partners with senior leadership to manage risk, contract strategy, and negotiation approaches. Office is near San Jose, with a four-day work week.

Qualifications

• 5+ years of relevant legal experience.
• Prior Big Law experience required.
• In-house commercial experience preferred.
• Significant experience negotiating sophisticated commercial agreements.
• Experience supporting AI Infrastructure/Data Center/Semiconductor technology businesses preferred.
• Strong business judgment and practical problem-solving skills.
• Ability to independently manage transactions in a fast-paced environment.

Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements.
• Support strategic partnerships and business transactions.
• Partner closely with revenue-generating teams on customer-facing transactions.
• Advise stakeholders on risk assessment, contract strategy, and negotiation approaches.
• Support legal matters relating to procurement, vendor relationships, and operational functions.
• Develop and maintain contract templates, playbooks, and legal processes.
• Collaborate with technical and product stakeholders on technology-related matters.
• Assist with other general corporate and legal matters as needed.
• Manage outside counsel where appropriate.
