Job summary

Paragon Legal Group is seeking an experienced Commercial Counsel to support rapid growth in a cybersecurity and AI-focused environment. You will independently draft, review, and negotiate high volumes of complex enterprise agreements, including MSAs, DPAs, NDAs, and security exhibits, while managing cybersecurity risks. Collaboration with sales and business teams is essential.

Remote work is allowed with Pacific Time coverage; on-site in Silicon Valley is optional.

Job description

The Position

An innovative, fast-growing cybersecurity technology company is seeking an experienced Commercial Counsel to provide embedded legal support during a period of significant growth. The company operates at the intersection of cybersecurity and AI, developing cutting-edge technology and working with sophisticated enterprise customers.

This attorney will independently draft, review, and negotiate a high volume of complex enterprise commercial agreements on customer paper, including MSAs, DPAs, NDAs, security exhibits, and AI-related agreements. The role will also involve navigating cybersecurity, privacy, and information security-related contractual risks, partnering closely with sales and business stakeholders, and helping refine existing contracting playbooks and processes.

The ideal candidate will have a strong commercial technology transactions background, prior industry experience in cybersecurity, incident response, or a closely related technology sector, and a proven ability to independently manage complex negotiations and heavy contract volumes while supporting demanding sales teams. Experience at an AI-focused company or startup is a plus.

This project starts ASAP, requires 40 hours per week, for an estimated 6-month duration. This role can be fully remote but must be able to support Pacific Time working hours. Availability to work onsite in SiliconValley is a plus but not required.

The hourly rate for this assignment is expected to be between $115 and $125. This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.
