The ideal candidate has 3–6 years of CMBS experience, strong drafting skills, and a JD from a top-tier law school. Bar admission in good standing is required.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive experience in securitization and structured finance (CMBS).
• Experience drafting and negotiating complex securitization documents.
• Familiarity with CRE repurchase facilities and warehouse lending.
• Large law firm experience preferred.

Responsibilities

• Provide counsel on CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
• Lead the preparation and negotiation of transaction documents (bid letters, confidentiality agreements, disclosures, operative agreements).
• Participate in deal structuring, due diligence, execution, and post-closing matters.
• Ensure compliance with regulatory and industry standards.
• Collaborate with Global Finance team to deliver premier client service.
