This role involves advising on CMBS transactions, drafting and negotiating securitization documents, and leading deal structuring with issuers, underwriters, and investors.

The candidate should have 3–6 years of substantive CMBS experience, a JD from a top law school, and active bar admission.

Qualifications

• 3–6 years of substantive experience in securitization and structured finance, specifically CMBS.
• Experience drafting and negotiating complex securitization documents (pooling and servicing agreements, mortgage loan purchase agreements, bid letters, investor certifications).
• Familiarity with CRE repurchase facilities and warehouse lending.

Responsibilities

• Provide counsel on CMBS transactions and CRE CLOs for issuers, underwriters, and investors.
• Lead the preparation and negotiation of transaction documents and operative agreements.
• Assist with deal structuring, due diligence, and post-closing matters.
