Job summary

Confidential Careers seeks a Chief Legal Officer to build and lead the legal function across its multi-entity real estate and capital platform. This ground-floor role reports directly to executive leadership and spans development, financing, construction, and corporate operations.

You will serve as the principal legal advisor across the enterprise, manage outside counsel, structure transactions, and establish governance, templates and processes to scale with the business.

Qualifications

• J.D. and active California bar admission.
• 12+ years of legal experience in commercial real estate transactions.
• In-house experience at a real estate development, investment, or operating platform.
• Experience with capital raising, fund formation, or securities.
• Strong drafting, negotiation, and business judgment to advise executives.
• Ability to manage high-volume complex transactions independently in a fast-moving environment.

Responsibilities

• Serve as principal legal advisor to CEO and executive team across all entities.
• Lead legal strategy for real estate acquisitions, dispositions, development and joint ventures.
• Structure and negotiate financings across the capital stack (loans, mezzanine, equity).
• Oversee specialty capital programs, including investor agreements and regulatory compliance.
• Manage contracts, liens and risk allocation for construction and contracting operations.
• Support formation, licensing and regulatory matters for affiliated businesses.
• Oversee corporate governance, entity formation and compliance across holding company and subsidiaries.
• Manage outside counsel, budgets, and scope of work.
