Job summary

Orrick is seeking a Corporate Paralegal for its Boston, San Francisco, or New York offices to support high-quality legal services. You will manage complex projects, handle confidential materials, and assist with IPO-related tasks, including due diligence and document coordination.

Ideal candidates have a bachelor’s degree and 2+ years of corporate paralegal experience with strong research skills and familiarity with Westlaw, LexisNexis, PACER, and SEC/EDGAR.

Qualifications

• Bachelor's degree required; ABA-approved paralegal certificate preferred but not required
• 2+ years of Corporate Paralegal experience
• Microsoft Office proficiency (Outlook, Excel, PowerPoint)
• Strong research skills; experience with Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta preferred
• IPO and public company matters experience is a plus, including related filings and documents

Responsibilities

• Manage complex projects independently under limited supervision
• Maintain confidential client information; improve workflow for storage and recall of materials
• Oversee IPO transaction tasks, including draft checklists, due diligence, and site visits
• Create and proofread agreements for content, accuracy and format
• Prepare deal documents including disclosures, exhibits, SEC filings, and merger agreements
• Provide pre-closing, closing and post-closing assistance
• Conduct non-legal and legal research; perform due diligence
• Prepare correspondence, audit letters, responses, and closing checklists
