Job summary

BCG Attorney Search in Philadelphia seeks a talented mid-level associate to join its Corporate Governance and Special Committee practice. You will work on sophisticated board-level matters, fiduciary duties, and governance advisories.

You will advise boards and management on Delaware corporate law, participate in M&A matters, and support litigation risk management and governance audits for national and international clients.

Qualifications

• 3–6 years at a major law firm with Delaware corporate law exposure.
• Strong knowledge of Delaware General Corporation Law and fiduciary duties.
• Experience with Nevada corporate law is a plus.
• Experience with special committees or M&A matters preferred.
• Excellent legal research, writing, and analysis.
• Ability to work independently and manage multiple matters.
• Strong client service orientation and business judgment.

Responsibilities

• Advise boards of directors and management on corporate law issues.
• Support special committee representations in conflict transactions.
• Assist clients with activism preparedness and governance audits.
• Advise on M&A transactions and litigation risk management.
• Research and advise on corporate law developments.
• Draft board materials, opinions, and client memoranda.
• Support Delaware Court of Chancery litigation matters.
• Collaborate with partners across practice groups.
