BCG Attorney Search seeks a talented mid-level associate for its Corporate Governance and Special Committee practice in New York, NY. You will advise boards, special committees, and management on complex Delaware corporate matters, including fiduciary duties and governance issues.

The ideal candidate has 3–6 years at a major law firm with Delaware corporate law exposure and experience with M&A, conflict transactions, or activism.

Qualifications

• J.D. from a top-tier law school with excellent academic credentials.
• 3–6 years of experience at a major law firm with Delaware corporate law exposure.
• Strong understanding of Delaware General Corporation Law and fiduciary duties.
• Experience with special committees, conflict transactions, or M&A preferred.
• Excellent research, writing, and analytical skills; able to manage multiple matters.
• Admission to California bar; Delaware or Nevada bar admission a plus.

Responsibilities

• Advise boards of directors, special committees, and management on corporate law issues.
• Support special committee representations in conflict transactions.
• Assist clients with activism preparedness and governance audits.
• Advise on M&A transactions, including deal structuring and litigation risk management.
