The ideal candidate has 3–6 years at a major law firm with Delaware corporate law exposure and experience with M&A, conflict transactions, or activism.

Qualifications

  • J.D. from a top-tier law school with excellent academic credentials.
  • 3–6 years of experience at a major law firm with Delaware corporate law exposure.
  • Strong understanding of Delaware General Corporation Law and fiduciary duties.
  • Experience with special committees, conflict transactions, or M&A preferred.
  • Excellent research, writing, and analytical skills; able to manage multiple matters.
  • Admission to California bar; Delaware or Nevada bar admission a plus.

Responsibilities

  • Advise boards of directors, special committees, and management on corporate law issues.
  • Support special committee representations in conflict transactions.
  • Assist clients with activism preparedness and governance audits.
  • Advise on M&A transactions, including deal structuring and litigation risk management.
  • Research and advise on corporate law developments and implications.
  • Draft board materials, legal opinions, and client memoranda.
  • Support Delaware Court of Chancery litigation matters.
  • Collaborate with partners across practice groups.

Duties
