Job summary

Scorpion Therapeutics is seeking a Corporate Governance & Securities Specialist to support the Board, manage SEC filings, and oversee equity administration. The role coordinates board meetings, drafts governance records, and handles proxy and annual report processes.

You will work hybrid in Herndon, VA with some travel, collaborating with the legal department on domestic and international entities and ensuring compliance across governance workflows.

Qualifications

• Minimum 5 years in corporate governance, securities administration, or public-company legal support.
• Experience with SEC filings, Board portals, and equity platforms.
• Strong organizational, drafting, and project management skills.
• Bachelor's degree or equivalent.

Responsibilities

• Coordinate Board and committee meetings.
• Prepare minutes and governance records.
• Manage proxy and annual report processes.
• Oversee SEC filings including EDGAR and Form 4/8-K.
• Administer equity grants.
