Job summary

Kelley Drye & Warren LLP's EBEC group is seeking an attorney with experience in executive compensation (409A), qualified plans (ERISA), and related transactional matters. The role focuses on advising corporate and nonprofit clients on retirement and welfare plans throughout the deal lifecycle.

You will handle plan development, administration, and termination, support due diligence in mergers and acquisitions, negotiate representations and warranties, and contribute to post-deal integration.

Qualifications

• Experience with development, implementation, administration, and termination of retirement and welfare plans.
• Experience handling benefits in corporate transactions, including due diligence and post-deal integration.
• Advising on employment/consulting agreements and severance packages.

Responsibilities

• Assist clients with the development, implementation, administration, and termination of qualified and non-qualified retirement plans, health and welfare benefit plans, and other compensatory arrangements (e.g., stock options, restricted stock, equity awards, cash bonuses, deferred compensation).
• Handle benefits aspects of corporate transactions (mergers, acquisitions, financing), including due diligence, document review, and negotiation of representations and warranties, and post-deal integration and support.
• Advise clients on negotiating and drafting employment and consulting agreements, as well as severance packages and releases.
