Day-to-Day

• Structure and negotiate securities offerings, private placements, and compliance matters under SEC regulations
• Advise on M&A transactions, joint ventures, and corporate governance for public/private companies and funds
• Handle private equity and fund formation, including LP/GP agreements and investor-side representations
• Conduct due diligence, draft disclosure documents, and counsel on ongoing reporting obligations
• Collaborate on cross-practice deals blending securities with banking, finance, and transactional expertise
