Senior Corporate Attorney Opportunity - New York, NY

Senior corporate attorneys orchestrate $500M+ M&A and securities offerings for blue‑chip clients such as Blackstone and JPMorgan, closing 15+ transformative deals in 2024. The firm fast–tracks rainmakers to gusto equity within five years.

Role Overview

Seeking senior corporate attorneys (NY Bar required) with experience in M&A, securities, or financing deals to lead complex corporate transactions involving $500M‑$1B transactions for private equity, public offerings, and joint ventures for financial institutions and real‑estate giants.

Compensation and Benefits

Base salary $225K–$250K plus $35K–$60K bonuses for closings. Hybrid office 3 days a week. Comprehensive healthcare, dental, vision, 401(k) match, PTO 20+ days.

Key Duties

• Lead structuring, negotiation, and execution of complex corporate transactions, including mergers, acquisitions, joint ventures, and strategic investments.
• Draft, review, and negotiate commercial contracts such as shareholder agreements, operating agreements, NDAs, and service agreements.
• Advise clients on corporate governance, fiduciary duties, and compliance with federal and New York state corporate laws.
• Oversee due diligence processes and prepare comprehensive risk reports for clients and stakeholders.
• Counsel startups, mid‑size businesses, and large enterprises on entity formation, capital structuring, and financing, including venture and private‑equity deals.
