The role focuses on data licensing, software licensing, AI/privacy considerations and strategic vendor relationships, with collaboration across Legal, Procurement, Data Governance and Information Security.

Qualifications

  • Requires a law degree and active US bar.
  • 4–8 years’ experience drafting, negotiating and advising on complex commercial transactions.
  • Strong understanding of technology licensing, data licensing and professional services contracts.
  • Familiarity with data governance, IP, information security and privacy concepts.
  • Ability to assess risk and provide commercially-focused advice.
  • Excellent negotiation, project management and stakeholder management skills.

Responsibilities

  • Draft, negotiate and review client and vendor agreements including NDAs, services, software licenses, data licenses and strategic partnerships.
  • Lead complex negotiations on data licensing, market data, exchanges, indices, SaaS and cloud agreements.
  • Advise on data acquisition, governance and licensing initiatives across the business.
  • Work with cross-functional teams to ensure contractual compliance and risk management.

Job description

The Data Licensing & Technology Transactions Attorney ("Attorney") will be primarily responsible for supporting SEI business, technology, operations, procurement, data governance and product teams in the review, negotiation and administration of a broad range of commercial transactions. The Attorney will work with business stakeholders and senior members of the Legal Department in connection with agreements involving technology, data, software, professional services and strategic third‑party relationships while helping to ensure compliance with SEI's contractual, regulatory and third‑party risk management obligations. A significant focus of the role will be advising on the acquisition, licensing, governance and use of third‑party data and technology solutions that support SEI's business operations, products and services. The Attorney will regularly advise stakeholders on data rights, intellectual property, artificial intelligence, information security, privacy, operational risk and regulatory considerations associated with strategic vendor relationships. The Attorney will have frequent interaction with internal solutions teams, procurement professionals, data governance personnel, information security teams, product/service owners and relationship managers, and will participate in negotiations with vendors, technology providers, market data providers, exchanges, index providers and other strategic counterparties. The Attorney must possess strong relationship‑building, communication, project management, organizational and negotiation skills and be capable of providing practical, commercially focused legal advice in a fast‑paced environment. The Attorney will report to a Senior Transactional Attorney Director.

What you will do:

Commercial Transactions & Contracting Draft, negotiate and review the company's agreements with clients and third‑party service providers, including non‑disclosure agreements, professional services agreements, outsourcing agreements, software licenses, data licenses, development agreements and strategic technology partnerships.

Lead complex negotiations involving:

  • Data licensing agreements
  • Market data agreements
  • Exchange and benchmark licensing arrangements
  • Index licensing agreements
  • Alternative data agreements
  • SaaS and cloud services agreements
  • Technology and software licensing arrangements
  • Strategic sourcing and procurement contracts

Data Licensing & Governance Serve as legal advisor on enterprise data acquisition and data licensing initiatives.

Advise business stakeholders regarding contractual rights and restrictions relating to:

  • Internal business use
  • Client‑facing use
  • Redistribution rights
  • API and digital delivery rights
  • Derived data rights
  • Analytics and reporting rights
  • Intellectual property ownership
  • Artificial intelligence and machine learning use cases

Partner with Data Governance, Technology, Product, Operations, Compliance, Privacy and Information Security teams to support SEI's data strategy and related initiatives. Provide legal guidance regarding data governance frameworks, vendor audit rights, usage restrictions, reporting obligations and contractual compliance requirements.

Strategic Advisory Responsibilities

Work with internal clients to solve legal, regulatory, operational, risk and business issues associated with strategic transactions. Identify legal and business risks in proposed vendor relationships and commercial arrangements and develop practical, business‑oriented solutions. Support enterprise initiatives involving digital transformation, artificial intelligence, automation, data strategy and emerging technologies. Advise internal clients regarding the allocation of contractual risk and the legal team's assessment of the risk/reward framework associated with commercial negotiations.

Process Improvement & Innovation

Drive improvements to legal workflows, contracting processes, templates, negotiation playbooks and legal operations initiatives. Evaluate and leverage AI-enabled tools and technology solutions to improve contracting efficiency, consistency and scalability.

Governance & Risk Management

Participate in activities related to corporate governance, regulatory compliance and third‑party risk management. Coordinate with procurement, operational risk, information security, privacy and compliance teams to assess and mitigate contractual and regulatory risks associated with third‑party providers.

What we need from you:
  • Law degree and active bar membership in any U.S. state.
  • 4‑8 years’ experience drafting, negotiating and advising on complex commercial transactions including technology, software, data licensing, outsourcing, procurement or strategic vendor transactions.
  • Strong understanding of technology development, software licensing, financial services and professional services contracts.
  • Familiarity with data governance, intellectual property, information security and privacy concepts.
  • Ability to assess legal risk while delivering practical, commercially focused business advice.
  • Excellent negotiation, project management and stakeholder management skills.
  • Ability to independently manage multiple high‑value, complex transactions while supporting business objectives.
  • Comfort operating in a dynamic, fast‑paced, often‑changing environment.
