Job Description:

The Firm is seeking an Assistant Vice President to join its growing Legal & Regulatory team in New York. The role involves negotiating placement agent agreements, letters of understanding, selling agreements, and other product distribution-related agreements with wealth management intermediaries in relation to Brookfield and Oaktree funds. Responsibilities include advising on regulation, establishment, management, governance, and marketing of these funds, which include private and registered funds, and collaborating with legal and regulatory teams internally and externally.

Key Responsibilities

• Coordinate onboarding of new intermediaries and negotiate related agreements.
• Review private placement memoranda, partnership agreements, and subscription documents for private funds.
• Review prospectuses and organizational documents for registered funds.
• Engage with technology partners on feeder fund structures for distribution.
• Negotiate agreements with wealth management intermediaries and legal counsel.
• Review and negotiate general corporate and vendor agreements.

Company Requirements:

Candidate Profile

• J.D. from an accredited institution.
• Licensed and in good standing in New York.
• 0-3 years of relevant experience in asset management or private law firms.
• Knowledge of regulations impacting private funds, broker-dealers, and distribution.
• Experience negotiating various agreements.
• Familiarity with tax issues and private wealth management distribution (preferred).
• Strong interpersonal, communication, analytical, and project management skills.
• Ability to work in a fast-paced, global environment.
