  • Expertise in SEC filings and related disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations.

Responsibilities

  • Advise on corporate governance matters and support interactions with executive leadership and governing bodies.
  • Support preparation, review, and coordination of periodic and current SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Assist with public company compliance, securities law matters, and preparation of regulatory filings and disclosures.
  • Support domestic and international acquisitions, divestitures, joint ventures, and other strategic transactions.
  • Conduct legal due diligence and help coordinate transaction execution from initial evaluation through post-closing integration.
  • Draft, review, and negotiate a variety of transaction-related agreements and corporate documents.
  • Partner with internal business teams on corporate finance initiatives and strategic growth projects.
  • Manage relationships with external counsel and coordinate legal support across multiple jurisdictions.

Key Responsibilities
