Job summary

AES Corporation in Arlington, VA seeks an accomplished attorney to lead tax equity and debt project financing transactions within the renewables portfolio. This role focuses on financing of solar, solar-plus-storage, stand-alone storage and wind projects, with responsibility for structuring and negotiating related documents.

The ideal candidate has 10+ years in relevant law, 6+ years in project finance for renewables, and JD from an accredited law school, plus strong communication and leadership

Qualifications

  • At least 10 years of relevant experience in law,
  • At least 6 years in project finance transactions for renewable energy projects,
  • Experience in project development and related documentation.
  • Excellent oral and written communication skills.
  • Ability to adapt to a variety of duties in a fast-paced environment.
  • Smart, decisive, organized, methodical, bias toward action.

Responsibilities

  • Attend all aspects of renewable project development and financing, focusing on solar, storage, and wind.
  • Lead internal counsel on tax equity, tax credit transfer and debt financings for such projects and corporate financings.
  • Structure, draft, review and negotiate financing transactions and project documents (PPA, EPC, etc.).
  • Coordinate closings with AES team members and outside counsel.
  • Engage and manage outside counsel efficiently.
  • Provide general legal counsel and strategic guidance to senior management.

AES Renewables & Power is a leader in clean energy development and one of the largest renewable energy IPPs in the country. This position will play an important role within the legal group, focusing primarily on tax equity and debt project financing transactions. This position requires a high level of expertise with the ability to clearly communicate, identify and mitigate risks, and manage outside counsel.

Principal Duties and Responsibilities
  • Attend to all aspects and issues related to renewable project development and financing, with a special focus on financing of solar, solar plus storage, stand-alone storage and wind projects.
  • Act as lead internal counsel on tax equity, tax credit transfer and debt financings for such projects as well as corporate financings.
  • Structure, draft, review and effectively negotiate financing transactions as well as project-related documents (e.g., power purchase agreements, engineering, procurement and construction contracts).
  • Manage and coordinate closings with AES team members and outside counsel.
  • Effectively and efficiently engage and manage outside counsel.
  • Provide general legal counsel and strategic guidance to senior and executive-level management.
Desired Experience and Skills
  • At least 10 years of relevant experience, preferably at a major law firm or sophisticated in-house legal group.
  • At least 6 years of experience in project finance transactions for renewable energy projects with the ability to lead transactions as in-house finance counsel.
  • Experience in project development and project-related documentation.
  • Excellent communication skills, both oral and written.
  • Ability to adapt to a variety of duties and work in a fast-paced environment.
  • Smart, decisive, organized, methodical, biased toward action.
Education
  • Bachelor's Degree J.D. from an accredited law school

The expected salary for this position, at commencement of employment, is between $193,000 and $241,400/year; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience.

The benefits offered for this position are: medical, dental, and vision coverage, life insurance, 401(k) eligibility, and paid time off (including vacation, sick leave time, and parental leave).

If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
