Position Summary
The Associate General Counsel will be a senior member of Corgi's Legal Department and will work directly with the General Counsel and executive leadership on a broad range of legal matters, with particular responsibility for insurance regulatory matters, litigation and disputes, artificial intelligence and emerging technology, commercial issues, corporate matters, and interactions with governmental and regulatory authorities.
Corgi is seeking an experienced attorney with a strong litigation background who is also capable of functioning as a practical, business-oriented in-house counsel. Litigation experience is important because the successful candidate must be able to analyze contested issues, develop factual records, advocate effectively, manage investigations and disputes, and independently assess legal risk. However, this is not primarily a litigation position.
A significant portion of the role will involve insurance regulation and other governmental and business regulatory matters. The Associate General Counsel will regularly interact with state insurance departments, other governmental agencies, regulators, outside counsel, business partners, and internal stakeholders.
Attorneys with prior experience at an insurance department or other governmental regulatory agency, or with substantial experience representing companies before insurance regulators, are particularly encouraged to apply.
The successful candidate should be comfortable moving between regulatory matters, litigation, artificial intelligence and emerging technology issues, commercial agreements, corporate issues, investigations, and day‑to‑day legal counseling.
Insurance & Regulatory Responsibilities
- Advise the Company and its subsidiaries regarding insurance laws, regulations, licensing requirements, regulatory obligations, and related compliance matters.
- Serve as a legal point of contact for state departments of insurance and other governmental and regulatory authorities.
- Manage and respond to regulatory inquiries, examinations, investigations, information requests, complaints, and enforcement matters.
- Draft and review correspondence, submissions, responses, applications, filings, and other materials provided to insurance departments and other governmental agencies.
- Develop and maintain productive, professional relationships with regulators and governmental authorities.
- Advise business teams regarding the regulatory implications of new products, programs, structures, transactions, and business initiatives.
- Work with regulatory and compliance teams on licensing, market conduct, producer issues, insurance programs, carrier relationships, distribution arrangements, and other insurance‑related matters.
- Analyze complex or novel insurance regulatory issues and provide practical recommendations to management.
- Coordinate multistate regulatory matters and work with local or specialized regulatory counsel when appropriate.
- Assist in resolving regulatory issues before they develop into formal disputes or enforcement proceedings.
- Represent Corgi in meetings, conferences, negotiations, and other communications with regulators.
- Monitor relevant regulatory developments and advise leadership regarding developments that may affect the Company or its subsidiaries.
Litigation, Investigations & Disputes
- Manage litigation, arbitration, administrative proceedings, regulatory disputes, pre‑litigation matters, and other contested matters involving the Company.
- Develop litigation and dispute strategy in coordination with the General Counsel and outside counsel.
- Conduct and supervise internal investigations involving potential litigation, regulatory matters, business disputes, employee issues, or other significant legal concerns.
- Evaluate potential claims and defenses and provide practical assessments of legal risk, exposure, strategy, and settlement options.
- Draft, review, and revise pleadings, motions, briefs, discovery, demand letters, regulatory submissions, settlement agreements, and other substantive legal documents.
- Manage discovery, document preservation, litigation holds, subpoenas, privilege issues, and evidence collection.
- Prepare executives and employees for depositions, regulatory interviews, testimony, hearings, and other proceedings.
- Participate in mediations, arbitrations, hearings, depositions, settlement discussions, and other proceedings where appropriate.
- Select, supervise, and manage outside litigation counsel, experts, investigators, and other professionals.
- Maintain substantive ownership of significant disputes rather than simply administering outside counsel.
Artificial Intelligence & Emerging Technology
- Advise the Company on legal and regulatory issues arising from the development, procurement, deployment, and use of artificial intelligence and other emerging technologies.
- Partner with product, engineering, compliance, security, and business teams on responsible AI use, governance, risk assessment, and internal policies.
- Evaluate AI‑related issues involving insurance regulation, consumer protection, privacy, data use, intellectual property, contracting, employment, and potential litigation risk.
- Review and negotiate agreements with AI, data, software, and technology vendors, including terms addressing data rights, confidentiality, security, intellectual property, model use, and allocation of risk.
- Monitor legal and regulatory developments affecting artificial intelligence and advise leadership regarding their practical impact on the Company’s products, operations, and regulatory obligations.
General In‑House Responsibilities
- Provide practical legal advice to Corgi.
- Draft, review, and negotiate commercial contracts, vendor agreements, confidentiality agreements, settlement agreements, consulting agreements, strategic arrangements, and other business agreements.
- Advise executives and business teams regarding commercial, corporate, employment, operational, regulatory, and litigation risk.
- Assist with corporate governance matters, board matters, subsidiary management, and corporate transactions.
- Support financings, acquisitions, investments, partnerships, and other strategic transactions as needed.
- Coordinate with outside counsel on specialized insurance regulatory, corporate, employment, tax, intellectual‑property, litigation, and transactional matters.
- Assist the General Counsel with Legal Department strategy, processes, policies, and management.
- Handle special projects and other legal matters as assigned by the General Counsel.
Qualifications
- A J.D. from an accredited law school.
- Active membership in good standing in at least one U.S. jurisdiction.
- Meaningful litigation experience, including direct involvement in contested matters, investigations, discovery, motion practice, or dispute strategy.
- The ability to operate as a broad in‑house lawyer rather than as a specialist limited to litigation.
- The ability to advise business and technical teams on legal issues involving artificial intelligence, data, and emerging technology.
- Strong analytical, legal research, writing, negotiation, and advocacy skills.
- Excellent judgment and the ability to independently analyze complicated factual, legal, regulatory, and business issues.
- Strong written and verbal communication skills.
- The ability to interact effectively with regulators, executives, employees, outside counsel, counterparties, and other sophisticated parties.
- The ability to manage multiple significant matters simultaneously in a fast‑moving environment.
- A practical, business‑oriented approach to legal risk.
Preferred Experience
- Prior employment with a state department of insurance or another governmental regulatory agency.
- Significant experience representing insurers, insurance intermediaries, insurance technology companies, producers, administrators, reinsurers, risk‑bearing entities, or other regulated insurance businesses.
- Experience regularly interacting with state insurance regulators.
- Insurance regulatory counseling.
- Regulatory investigations, examinations, or enforcement matters.
- Financial‑services or other highly regulated industry experience.
- Experience at a sophisticated law firm followed by an in‑house, regulatory, or governmental role.
- Experience advising rapidly growing or venture‑backed companies operating in regulated industries.
- Experience advising on artificial intelligence, machine learning, generative AI, data governance, or technology product matters.
- Experience addressing AI or technology issues in a regulated industry, particularly insurance or financial services.
Role Profile
This is a broad in‑house legal position for an attorney who can operate effectively across regulatory, litigation, artificial intelligence, commercial, and corporate matters.
A substantial portion of the role will involve working with insurance regulators and other governmental authorities. Attorneys who have worked inside an insurance department or another regulatory agency may be particularly well suited to the position because they understand how regulators evaluate issues, how agencies operate, and how companies can effectively work through regulatory questions.
The Associate General Counsel should be equally comfortable handling a difficult regulatory inquiry, advising on the deployment or governance of an AI tool, directing outside litigation counsel, negotiating a commercial agreement, advising an executive on legal risk, or working with a business team to structure a new initiative.
This is a full‑time, in‑office position based in Atlanta, Georgia.
