JOB SUMMARY

The Associate Counsel is responsible for providing counsel to management and assisting in planning and directing all aspects of the organization's legal affairs and ensures maximum protection of the Company's legal rights.



JOB ROLES AND RESPONSIBILITIES


  1. Work with Claritev management to provide legal counsel and business counsel

  2. Assume responsibility for complex legal projects and resolves them effectively with a minimum of supervision.

  3. Support Claritev Sales and Account Management team in contract negotiations with customers.

  4. Support Claritev Network Development team in contract negotiations with healthcare providers.

  5. Support drafting, distribution and maintenance of all form provider, customer and vendor agreements including the development of tools, processes, and procedures for use of and with such agreements.

  6. Provide counsel and contracting support to other Claritev departments including, but not limited to, Human Resources, Credentialing, and IT.

  7. Support Customer Service/Dispute Resolution processes and assist in the development and implementation of preventive programs to mitigate legal exposure for Claritev.

  8. Participate in managing litigation strategy and direction of Claritev relationships with outside counsel.

  9. Participate in development and delivery of training programs for internal Claritev departments.

  10. Support Claritev's regulatory compliance programs and processes; research and review emerging legislation and regulation and develop policies for compliance by Claritev; support implementation of compliant policies and processes; support client compliance.

  11. Direct, supervises, train, Assistant Counsel, paralegals, administrative staff.

  12. Collaborate, coordinate, and communicate across disciplines and departments, and with external counsel and advisors.

  13. Ensure compliance with HIPPA regulations and requirements.

  14. Demonstrate commitment to the Company's core values.

  16. Support Claritev Innovation & Solution Lifecycle team in product and solution development, implementation, and maintenance.

  17. Provide expertise on legal questions regarding AI, technology, and data use.

  18. Develop and maintain a strong understanding of Company's suite of product and service offerings, particularly in relation to evolving industry and regulatory landscapes.

  19. Review marketing material, including, but not limited to, proposals, slide decks, white papers, and scripts.

  20. Work with the Client and Vendor Legal team to ensure that our products are accurately described and protected in client agreements, and provide support as needed for AI vendor agreements and engagements

  21. Assist with the development and maintenance of template language to be used in contracts.

  22. Research legal issues and prepare legal memoranda and correspondence

  23. Provider guidance to other members of the Legal department on areas of expertise.

  24. Collaborate, coordinate, and communicate across disciplines and departments, and with external counsel and advisors.

  25. Demonstrate commitment to the Company's core values.

  26. Select, develop, and evaluate staff to ensure the efficient operation of department.

  28. Work with Claritev management to provide legal counsel and business counsel, including but not limited to the SVP, Chief Legal Officer, and their designee(s); executive management, or other departments, including, but not limited to, Network Solutions, Innovation & Solution Lifecycle, Growth, Marketing, Operations, Talent, and IT.

  29. Support development and implementation of relevant policies and procedures.



JOB SCOPE

This individual assumes responsibility for complex legal projects and works independently under minimal supervision and with considerable discretion to make decisions that affect the day-to-day operations within the Company. The incumbent applies comprehensive knowledge of principles, practices, and procedures to complete job responsibilities. The incumbent acts as a resource for Associate Counsels, Paralegals, and other Law Department staff as well as other Company departments. Work requires basing decisions on sound logic and rationale; advancing problems or issues toward resolution when encountering ambiguity or uncertainty; choosing the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; making timely decisions on problems and issues requiring immediate attention; and making sound decisions on complex legal/business issues and problems. An incumbent may have direct subordinates but will generally provide work direction to others who do not directly report to this job.



JOB REQUIREMENTS (Education, Experience, and Training)


  • Minimum Juris Doctorate

  • Minimum 5 years' experience related to legal practice including a background in healthcare and/or other related fields such as contracting, regulatory compliance or litigation

  • J.D. degree from an ABA accredited law school

  • Bar admission, in good standing, in at least one U.S. jurisdiction

  • Minimum of 5 years prior in-house or law firm experience

  • Other required licensures, professional certifications, and/or Board certifications as applicable.

  • Meeting management, analytical, communication, presentation, people management, and problem-solving skills

  • Ability to analyze issues and use sound judgment

  • Ability to drive execution

  • Ability to handle long-term and/or complex legal projects with significant financial or other business impact.

  • Ability to manage outside counsel

  • Ability to write reports, business correspondence, and procedure manuals

  • Ability to effectively present information and respond to questions from groups of managers, clients, or employees

  • Ability to define problems, collect data, establish facts, and draw valid conclusions

  • Ability to represent the company in a positive and professional manner

  • Ability to perform multiple tasks simultaneously and adapt to changing priorities in a positive and professional manner

  • Ability to work well both independently and as a member of a team

  • Ability to use software, hardware, and peripherals related to job responsibilities



PREFERRED QUALIFICATIONS


  • 5+ years prior experience related to healthcare or other related fields

  • 3-5 years prior experience in technology and/or AI related fields

  • Experience working with cross functional teams or supporting the operational, product, or other business teams

  • Experience handling long-term and/or complex legal projects

  • Strong verbal and written business communication skills: highly adept at synthesizing and summarizing complex concepts into clear, concise, and actionable communications

  • Exceptional interpersonal skills: ability to foster collaboration with and influence colleagues to drive results

  • Strong time and project management skills: ability to appropriately prioritize tasks and goals to ensure timely, on-target completion

  • Detail-oriented and highly organized

  • Ability and desire to learn new subject areas and willingness to take on new responsibilities



COMPENSATION

The salary range for this position is $155k-$170k. Specific offers take into account a candidate's education, experience and skills, as well as the candidate's work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
