Job summary

Centric Brands, a leading lifestyle brand company, is seeking a Director, Associate Counsel to drive licensing, IP, and M&A initiatives. You will report to the EVP/General Counsel and advise internal teams across business units.

You will draft and negotiate licensing and commercial contracts, manage IP matters, perform due diligence for acquisitions, and oversee corporate governance and regulatory compliance. JD, NY Bar, and 2–4 years in fashion/consumer goods are required.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Member in good standing of the New York Bar (or eligible for in-house registration).
• 2–4 years of relevant legal experience, ideally in M&A or IP.
• Strong experience in contracts, intellectual property, licensing, and/or M&A.
• Prior experience in fashion, apparel, luxury goods, or consumer products preferred.
• Excellent drafting and communication skills with attention to detail.
• Self-starter who can manage multiple priorities in a fast-paced environment.
• Excellent negotiation and interpersonal skills.
• Business-minded with strategic problem-solving abilities.

Responsibilities

• Structure, draft, and negotiate domestic and international brand licensing agreements, joint ventures, endorsements, and collaborations.
• Draft, review, and negotiate commercial contracts including vendor, service, partnerships, distribution agreements, and NDAs.
• Provide contract support to cross-functional teams such as design, sourcing, marketing, sales, and operations.
• Develop and maintain contract templates and playbooks.
• Conduct legal clearances and risk assessments for trademarks, brands, products, and licensing.
• Advise on IP issues related to advertising, product design, packaging, and digital content.
• Provide counsel for mergers & acquisitions and due diligence.
• Oversee corporate governance matters and manage entity maintenance.
