Job summary

Commvault is seeking an Associate Corporate Counsel to join our Corporate Trust Team. You will work on corporate governance, SEC reporting, sustainability, strategic transactions, and other key corporate legal initiatives.

Reporting to Senior Corporate Counsel, you will collaborate across the corporate legal function at a publicly traded cyber resilience company. This role is well suited for a resourceful, detail-oriented professional who thrives in a dynamic environment and seeks to build

Qualifications

• 2–3 years of corporate law or securities experience, including law firm or in-house.
• Familiarity with SEC reporting, proxy processes, and public company governance.
• Strong legal research and writing; ability to synthesize regulatory developments into actionable analysis.
• Detail-oriented, organized, and able to manage multiple concurrent workstreams with shifting priorities.
• Self-starter who takes initiative and follows through independently.
• Strong interpersonal and collaboration skills across departments and levels.

Responsibilities

• Support the preparation and review of SEC filings and proxy season activities.
• Prepare board and committee materials, governance documentation, and maintain corporate records.
• Support sanctions program, including screening alerts and escalation activities.
• Coordinate sustainability and governance assessments and the annual Sustainability Report.
• Assist with M&A, Treasury matters, and cross-functional legal projects.
• Assist with litigation coordination with outside counsel and discovery support.
• Draft updates to corporate policies and track policy review cycles.
• Monitor regulatory developments and assess impacts on the business.
