The Attorney - Corporate Transactions role focuses on drafting, reviewing and negotiating acquisition agreements, operating and shareholder agreements, and related documents, with opportunities to grow

Qualifications

• 3+ years of corporate transactional experience.
• New Jersey Bar is required.
• Meaningful corporate and commercial real estate experience strongly preferred.
• Hybrid work arrangement.

Responsabilités

• Draft, review and negotiate acquisition agreements, commercial contracts, operating and shareholder agreements.
• Support transactions from structuring through closing.
• Handle acquisitions, dispositions, leasing, financing and other property-related matters.
• Manage existing client matters with increasing autonomy and cross-sell opportunities.

Attorney - Corporate Transactions | $220K Base | M&A & Commercial Real Estate | New Jersey | 1,600 Billables

New Jersey business law firm that offers the sophistication of a larger corporate platform without the traditional Big Law structure. The team advises established domestic and international businesses on M&A, financings, commercial real estate, joint ventures, software and licensing agreements and other complex strategic transactions.

The Firm

• Broad Corporate Platform: Advise domestic and international clients on M&A, entity formation, corporate governance, operating and buy-sell agreements, commercial contracts and strategic business matters.
• Strong Real Estate Capability: Work across commercial acquisitions, sales, financing, leasing, development and redevelopment matters.
• Sophisticated Business Planning: The broader platform also incorporates tax, business succession and private-client planning, creating opportunities to advise clients across multiple stages of their business lifecycle.
• Partner-Level Access: Join a leaner platform where associates can work directly with experienced senior attorneys and build genuine client relationships.

The Role

• Corporate Transactions: Draft, review and negotiate acquisition agreements, commercial contracts, operating agreements, shareholder agreements and other transactional documents.
• M&A: Support transactions from structuring and due diligence through negotiation and closing.
• Commercial Real Estate: Handle acquisitions, dispositions, leasing, financing and other property-related transactions.
• Client Ownership: Manage existing client matters with increasing autonomy while identifying opportunities to expand relationships and cross-sell services.
• Up to $200K Base + Performance Bonus
• Hybrid
• 1,600 billable hour target
• Partner track available for the right candidate
• 3+ years of corporate transactional experience
• New Jersey Bar required
• Meaningful corporate and commercial real estate experience strongly preferred
