Qualifications

  • Must be admitted to the Massachusetts Bar in good standing.
  • 3-6 years of corporate, transactional, or business law experience.
  • Experience drafting and negotiating purchase agreements, operating agreements, shareholder agreements, financing documents, and commercial contracts.

Responsibilities

  • Represent clients in mergers, acquisitions, dispositions, reorganizations, and other strategic business transactions.
  • Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, ancillary agreements, and closing documents.
  • Advise clients regarding business formation, entity selection, capitalization, ownership arrangements, and ongoing corporate governance.
  • Prepare and negotiate operating agreements, shareholder agreements, partnership agreements, employment-related business agreements, and commercial contracts.
  • Conduct and coordinate legal due diligence while identifying and communicating material business and legal risks.
  • Counsel business owners, executives, boards, and investors on day-to-day corporate and transactional matters.
  • Support debt and equity financing transactions by preparing and reviewing financing, security, and organizational documents.
  • Coordinate transaction closings and work closely with clients, opposing counsel, accountants, lenders, and other professional advisors.
  • Maintain organized transaction records, closing checklists, corporate records, and post-closing deliverables.
  • Develop strong client relationships through responsive communication, practical advice, and an understanding of each client's business objectives.
  • Contribute to business development, client education, mentoring, and firm initiatives.
  • Meet the firm's quality, productivity, and billable-hour expectations

Qualifications
