POSITION SUMMARY:

Cencora, Inc. (NYSE: COR) is seeking an attorney to join its Legal Department as Assistant General Counsel - Corporate and M&A. The ideal candidate will possess strong legal skills with the ability to provide effective, business-oriented legal services, project management, and strategic counsel on significant M&A and other strategic transactions across Cencora's global organization.

This role involves supporting global M&A and strategic transactions, including joint ventures and minority investments, and assisting the Corporate Development team throughout the deal process. The candidate will also contribute to developing templates and playbooks for M&A deals and related strategic transactions. The position reports to Cencora's Vice President & Associate General Counsel - M&A.

Primary Duties and Responsibilities
  1. Manage all aspects of domestic and international M&A and strategic transactions, from inception to completion, including drafting and negotiating confidentiality agreements, letters of intent, term sheets, due diligence, definitive agreements, and closing activities.
  2. Collaborate with cross-functional teams such as Legal, Corporate Development, Finance, Tax, Treasury, IT, Compliance, and HR, and coordinate with outside counsel.
  3. Coordinate efforts and manage expectations with internal clients and external attorneys to provide sound legal advice and mitigate risks.
  4. Demonstrate project management skills, taking on legal and business responsibilities for transactions and leading post-closing integration efforts.
  5. Oversee corporate governance for Cencora's global subsidiaries.
  6. Provide legal support on tax matters, including reorganizations.
  7. Make legally compliant, business-oriented recommendations to internal clients.
  8. Prioritize and manage multiple matters efficiently.
  9. Potential management of legal professionals and teams.
  10. Represent Cencora in significant business contracts and negotiations.
  11. Adapt to change and shift priorities as needed.
  12. Seek challenging tasks, engage in development discussions, and be receptive to feedback.
Experience and Educational Requirements

The candidate must be a graduate of an accredited law school, admitted to the state bar, with a minimum of 9 years of experience as a corporate attorney with expertise in M&A. The role is comparable to a counsel or non-equity partner level, capable of handling sophisticated work independently and supervising others.

Skills, Knowledge, and Abilities
  • Knowledge of corporate law, including anti-trust laws and regulatory procedures.
  • Experience supervising outside counsel.
  • Understanding of industry policies, practices, and trends.
  • Excellent communication, interpersonal, negotiation, leadership, and organizational skills.
  • Ability to interpret legal trends and make informed decisions.
  • Proficiency with Microsoft Office.
  • Knowledge of the healthcare industry is a plus but not required.

Position: Full-time

Salary Range*: $152,500 - $235,180 (varies based on location and other factors)

*This range reflects the national average; actual compensation may vary by locale.
