Bessemer Trust, a premier wealth manager based in New York, is seeking an Assistant General Counsel with asset management experience to join its Legal Department. The role supports an investment platform of registered and private funds and separately managed accounts, requiring strong regulatory knowledge and a collaborative, client-centric mindset.

The ideal candidate has extensive experience with the Investment Advisers Act of 1940, Investment Company Act of 1940, and related regulations, and

Qualifications

• JD from an accredited law school and New York bar in good standing.
• 5+ years of professional experience with 3+ years in asset management vehicles and products.
• Experience in fund structuring, offering documents, and governance for private and registered funds.
• Experience with commercial real estate and cross-border asset management offerings is a plus.

Responsabilités

• Provide legal advice on day-to-day operations and governance for private and registered funds.
• Advise on legal/regulatory issues for trading and operational matters.
• Review and oversee regulatory filings (Forms ADV, CRS, Reg D, 13H, 13F).
• Draft, review, and negotiate investment-related documents and agreements.
• Oversee real estate lease agreements and related property matters.
• Collaborate with compliance on policies and procedures.
• Stay current on industry trends and help with regulatory change management.
• Coordinate with external counsel and service providers.
• Lead special projects as needed.
