Job summary

Machinify, a leading healthcare intelligence company, seeks an Assistant General Counsel to own AI, data, and IP terms across commercial agreements. You’ll draft, negotiate, and close complex contracts with health plans, partners, and vendors, translating privacy and compliance guidance into enforceable language while collaborating with Sales, Product, and Engineering.

Qualifications

• Ownership of AI and data rights provisions in commercial agreements.
• Working command of HIPAA and health data privacy requirements.
• Substantive IP experience in software or data contexts.
• Experience working with Sales or Client Success on negotiations.
• Ability to advise product and engineering on contract implications.

Responsibilities

• Draft, negotiate, and close customer MSAs, SOWs, SaaS and data agreements.
• Represent Legal in deal negotiations with health plans and vendors.
• Translate privacy, security, and compliance guidance into contract language.
• Maintain and update AI contract language and fallback positions.
• Support deal desks with templates, playbooks, and escalation paths.
