Role Overview

We are seeking a detail-oriented, proactive, and business-minded Entry-Level Corporate Counsel to join our in-house legal team. This position is designed for a recently licensed attorney with approximately 1–2 years of legal experience who is interested in developing broad corporate and transactional proficiency in a fast-paced business environment.

The Corporate Counsel will provide legal support to the company and its executive and business teams across corporate governance, commercial contracts, regulatory compliance, entity management, and general corporate matters. The successful candidate will be comfortable managing multiple priorities, working collaboratively with cross-functional teams, exercising sound judgment, and escalating complex legal issues appropriately.

Note: Role is Remote in South Carolina

Role Responsibilities
Legal & Administrative Support
  • Maintain organized legal files, databases, contract records, and corporate documentation.
  • Utilize legal technology, contract lifecycle management systems, document management platforms, and Microsoft Office applications as appropriate.
  • Stay current on applicable legal and/or regulatory developments relevant to the company's business and operations.
Corporate & Transactional Legal Support
  • Draft, review, revise, and negotiate a variety of commercial and corporate documents, including contracts, non-disclosure agreements, vendor agreements, corporate resolutions, and other legal documents.
  • Support the legal team in reviewing and managing commercial agreements and related contract lifecycle activities.
  • Assist with corporate governance matters, including preparation of board and committee materials, resolutions, meeting minutes, and other governance documentation.
  • Maintain and update corporate records, including minute books, organizational charts, annual reports, entity records, and related documentation.
  • Assist with entity formation, state business registrations, annual filings, and other corporate filings.
  • Conduct legal research and prepare memoranda and other written analyses on corporate, contractual, regulatory, and business matters.
  • Assist with due diligence, document reviews, and other legal projects as assigned.
Corporate Compliance
  • Monitor legal and regulatory deadlines and assist in ensuring timely completion of applicable federal, state, and international corporate and business requirements.
  • Support the development and implementation of internal compliance processes and procedures.
  • Identify potential legal and compliance issues and work with senior legal team members and relevant business stakeholders to address them.
  • Maintain appropriate documentation and records relating to corporate compliance activities.
  • Protect confidential, proprietary, and sensitive legal and business information.
Business & Cross-Functional Support
  • Serve as a legal resource and liaison to Finance, HR, Operations, Sales, Procurement, and other internal departments.
  • Communicate with external counsel, regulatory agencies, vendors, and other third parties as appropriate.
  • Partner with business stakeholders to understand objectives and provide practical, commercially focused legal guidance.
  • Assist with coordinating legal matters, tracking deadlines, and managing multiple projects simultaneously.
  • Support executive and legal leadership on special projects and other corporate initiatives.

*May be required to perform additional duties as assigned

Role Qualifications
Required Qualifications
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction and membership in good standing with the applicable state bar.
  • Approximately 1–2 years of relevant legal experience, including experience gained in a law firm, corporate legal department, or comparable legal environment, preferred but not required.
  • Demonstrated interest or experience in corporate law, commercial contracts, corporate governance, or regulatory compliance.
  • Strong legal research, writing, analytical, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Strong attention to detail, organization, and time-management skills.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Sound judgment and the ability to recognize when an issue should be escalated to more senior legal counsel.
  • Ability to maintain confidentiality and exercise discretion when handling sensitive legal and business matters.
  • Proficiency with Microsoft Office Suite, including Word, Excel, Outlook, and PowerPoint along with AI tools to improve productivity, streamline workflows, and support research, and analysis.
  • Ability and willingness to learn and effectively use contract lifecycle management, document management, and other legal technology platforms.
Preferred Qualifications
  • Experience supporting business transactions, commercial agreements, entity management, or corporate governance matters.
  • Experience working with state corporate filings and business registrations.
  • Familiarity with contract lifecycle management software or other legal technology tools.
  • Experience working directly with business stakeholders or cross-functional teams.
  • Strong understanding of general corporate and contract law principles.
  • Notary Public certification is a plus.
