Job summary

Barclays in Whippany, NJ seeks an Americas Global Contract Services Distribution Negotiator AVP to lead and independently manage a diverse portfolio of complex derivatives documentation negotiations with clients and internal stakeholders.

You will balance legal, commercial, risk and regulatory considerations while collaborating across onboarding, credit, collateral management, treasury, tax, sales and trading to facilitate seamless client onboarding and transaction execution.

Responsibilities

Purpose of the role

To oversee and manage transactional processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate documentation for financial transactions.

Accountabilities

• To ensure that the Transaction Services and Documentation activities are conducted in compliance with applicable laws and regulations, and to help the bank manage legal and reputational risks associated with these activities.
• Coordination with internal and external stakeholders, including legal counsel, credit risk management, and other departments, to ensure that transactions are executed in a timely and efficient manner.
• Creation, review, negotiation and management of legal documents such as loan agreements, security documents, and other transactional documents, to ensure execution in a timely and efficient manner.
• Transaction support, including preparation of transaction summaries, conducting due diligence, and support to other departments as needed.
• Development and implementation of transaction processes and procedures to ensure that transactions are executed consistently.
• Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.

In this highly visible position, you'll collaborate across onboarding, credit, collateral management, treasury, tax, sales, and trading teams to facilitate seamless client onboarding and transaction execution. You'll also take ownership of due diligence activities, including capacity and authority assessments, netting opinions, and collateral enforceability reviews, helping safeguard the firm's interests and risk framework. Additionally, you'll ensure accurate management information and documentation data integrity while staying ahead of evolving regulatory requirements, positioning yourself as a trusted advisor within Barclays' global legal and contract services organization.

To be successful as an Americas Global Contract Services Distribution Negotiator AVP, you should have:

• Expertise in derivatives documentation and negotiation, including hands-on experience negotiating and executing ISDA Master Agreements, DF Protocol documentation, FIA execution agreements, and related amendments within a global financial institution.
• Understanding collateral and counterparty risk frameworks, including Credit Support Annexes (CSA), UMR Initial Margin (IM) and Variation Margin (VM) requirements, collateral management principles, and netting and enforceability considerations.
• Ability to independently manage complex legal and contractual negotiations, partnering with clients and cross-functional stakeholders while applying strong knowledge of financial markets, regulatory requirements, due diligence processes, and legal documentation controls.

Some other highly valued skills may include:

• Knowledge of securities financing and related trading documentation, including familiarity with Master Repurchase Agreements (MRA), Global Master Repurchase Agreements (GMRA), Global Master Securities Lending Agreements (GMSLA), and other securities financing transaction frameworks.
• Understanding of institutional client structures and market practices, particularly experience supporting negotiations with asset managers, investment advisers, pension funds, insurance companies, and other buy-side market participants.
• Broader industry and global market expertise, including familiarity with industry legal opinions, netting and collateral enforceability frameworks across multiple jurisdictions, and proficiency in additional languages to support cross-border client negotiations and stakeholder engagement.

Minimum Salary: $110,000
Maximum Salary: $180,000
