Job summary

New York State Office of the Attorney General’s Charities Bureau, Transactions Section in New York City, seeks an experienced attorney to serve as Assistant Attorney General. The selected candidate will review complex transactions involving asset dispositions, mergers, and dissolutions for charities across New York City.

The AAG will manage a caseload, draft transactional documents, and appear in court when needed.

Qualifications

• Minimum of five (5) years of experience handling corporate matters, transactions, and/or real estate matters.
• Excellent research, analytical, communication, and organizational skills; ability to write clearly and persuasively.
• Experience with litigation and/or nonprofit work is strongly preferred.

Responsibilities

• Manage own caseload and review transactional documents (purchase & sale agreements, appraisals, governance documents, financial statements, loan agreements, merger agreements).
• Draft court documents for New York Supreme Court matters and appear on behalf of OAG when appropriate.
• Conduct virtual and in-person meetings with counsel; participate in outreach presentations for the public and NY charitable organizations.
