Responsibilities

  • Advise on general corporate governance matters, including board processes, capital changes, dividend distributions, share transfers, corporate documentation, and trade registry procedures.
  • Lead or participate in M&A transactions, including legal due diligence and drafting, reviewing, and negotiating SPAs, SHAs, and other transaction documents; contribute to signing and closing processes.
  • Draft, review, and negotiate corporate documents and transaction agreements; manage project structuring and other corporate-related transactions.

Role Description

The role requires solid experience (i) in general corporate and corporate governance matters, including general assembly and board of directors’ processes, capital increases and decreases, dividend distributions, share transfers, corporate documentation and trade registry procedures, (ii) in M&A transactions a including legal due diligence, drafting, reviewing and negotiating share purchase agreements (SPAs), shareholders’ agreements (SHAs) and other transaction documents, as well as participating in signing and closing processes and (iii) other corporate projects, structurings and transactions.

Qualifications
  • Law degree from a Turkish universities and admission to a Turkish Bar Association;
  • 8–10 years of professional experience as a lawyer in solid experience in corporate law and M&A transactions and other projects as set forth in the role description;
  • Excellent legal drafting, contract negotiation, and analytical skills, with attention to detail and risk assessment.
  • Ability to manage complex matters, lead case teams, and mentor junior lawyers.
  • Outstanding written and verbal communication skills in English; proficiency in Turkish is essential.
