Job summary

Cooley LLP is seeking a Paralegal (Venture Capital/Fund Formation) for the Asia region. The role emphasizes preparation of organizational documents, fund formation agreements, side letters and transfer documents, coupled with investor due diligence and regulatory research.

Ideal candidates will have 1–3 years in fund formation, a Bachelor’s degree, and the ability to work overtime. Paralegal Certification is preferred, with strong MS Office and iManage proficiency.

Qualifications

• Bachelor’s Degree required.
• 1–3 years of Fund Formation experience required.
• Proficiency in Microsoft Office and iManage.
• Available to work overtime as required.
• Bill a minimum of 1600 hours annually.

Responsibilities

• Preparation and maintenance of organizational documents.
• Preparation of partnership and limited liability company agreements.
• Preparation of side letters, transfer agreements and amendments.
• Due diligence on investors and fund formation matters.
• Research of securities regulations in fund formations.
• Filing notices and preparing opinions and backups.
• SEC compliance reporting for venture fund clients.
