Pixalate, Inc. is seeking an experienced Corporate Counsel to join our legal team handling governance, contracting, data privacy, and regulatory compliance across our international business.

The role requires strong drafting, negotiation, and advisory skills, with a focus on SaaS agreements, intercompany contracts, and board resolutions. Based in Singapore with a flexible work arrangement, you will partner with product, finance, and operations to ensure lawful and efficient growth while

Qualifications

• Subscription Agreements: Deep familiarity with SaaS agreements, including user rights, SLAs, and compliance with applicable laws.
• Intercompany Agreements: Skilled in negotiating and structuring intercompany agreements to align with corporate strategy while ensuring legal compliance.
• Data Privacy: Knowledgeable in data protection laws and regulations, address data privacy matters and conduct risk assessments.
• Board Resolutions: Drafting and presenting board resolutions to support governance initiatives at the executive level.
• Cross-Functional Collaboration: Collaborate with product teams to align legal terms with product development and market strategy.
• Ad-Hoc Legal Tasks: Managing various legal tasks with adaptability and proactivity.

Responsibilities

• Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, and R&D tax credit applications.
• Draft, negotiate, and amend subscription and data licensing agreements for SaaS businesses.
• Identify and leverage governmental incentives (e.g., R&D tax credits) to improve financial performance.
• Project manage the incorporation of international affiliates and subsidiaries.
• Draft intercompany agreements and board resolutions for international entities (e.g., Ireland, Delaware).
• Ensure compliance with OECD Guidelines for Multinational Enterprises; maintain strong governance and communication.
