Job summary

TD Bank Group Singapore seeks a qualified Governance professional to oversee the corporate secretarial function across Asia, including board resolutions, filings with authorities, and board portal coordination. Responsibilities

Job Description:

Key Responsibilities
  • Oversee and support the corporate secretarial function in Asia, including preparing Board and Shareholders’ resolutions, filings with the Accounting and Corporate Regulatory Authority (ACRA), and submissions to the Monetary Authority of Singapore (MAS).
  • Oversight of end-to-end support Boards of Directors of TD subsidiaries in Asia, and Singapore executive management committee meetings.
  • Manage third-party corporate governance service providers in Asia (e.g. Australia, Japan and India) Oversee the maintenance of statutory registers and records and manage filings of hardcopy minutes and resolutions.
  • Oversee the maintenance of accurate and up to date legal entity registers and other information relating to relevant subsidiary boards/committees Provide support for administrative and logistic arrangements for Board and Board Committee meetings.
  • Working with the Head of Corporate Governance, TDS Europe & Asia-Pacific, support compliance with TD Subsidiary Governance Policy and Standard requirements and relevant company law and corporate governance regulatory requirements relevant to the Boards/Board Committees/Board governance.
  • Maintain team policies, procedures and controls for the function Supports the team to ensure adherence to company laws, regulations, and best practices in corporate governance.
  • Supporting any ad hoc requirements/projects and undertaking such additional duties as requested by the Head of Corporate Governance, TDS Europe & Asia-Pacific Assist with other secretariat tasks or compliance-related assignments and support transaction matters as needed.
Candidate Requirements and Qualifications
  • Qualified Governance Professional/Company Secretary and/or a minimum 6 years’ relevant corporate secretarial experience.
  • Degree in Business Administration, Governance, Law, or a related discipline would be expected.
  • In-house corporate secretarial experience in a financial institution or listed company will be advantageous.
  • Strong understanding of corporate governance principles, regulations, and best practices, while prior experience in public listed companies is a plus.
  • Experience of overseeing third-party service providers would be helpful.
  • Experience of working in/with a variety of Asia jurisdictions, including Singapore and Japan would be preferred.
  • Excellent organizational skills with the ability to manage multiple tasks and priorities effectively.
  • Exceptional attention to detail and accuracy in documentation and record-keeping.
  • Strong written and verbal communication for interaction with various stakeholders, etc.
  • Proactive and self-motivated with the ability to work independently and as part of a team.
  • Proficiency in Microsoft Office applications (Word, Excel, PowerPoint, Outlook) and Teams & WebEx.
  • Experience with board portal software (eg. Diligent, etc.) is a plus.
  • Ability to handle confidential and sensitive information with discretion and professionalism.
