Job summary

Space Executive is partnering with a US-listed multinational to appoint an M&A Counsel to join its regional legal team. The role focuses on complex cross-border acquisitions, strategic investments, joint ventures, and corporate transactions within a globally regarded organization.

The ideal candidate will have 7–10 years' PQE, experience in top-tier international firms or multinational corporate teams, and strong drafting and negotiation skills to support the deal lifecycle across the region.

Qualifications

• 7–10 years' PQE in M&A and corporate transactions.
• Experience at top-tier international law firm or multinational corporate legal team.
• Strong drafting, negotiation, and stakeholder management skills.

Responsibilities

• Advise on domestic and cross-border M&A transactions, investments, divestments, and joint ventures.
• Lead drafting, review, and negotiation of transaction documents (SPAs, investment agreements, ancillary docs).
• Partner with business leaders, finance, tax, and external counsel throughout deal lifecycle.
• Conduct and coordinate due diligence, identify risks, provide commercially pragmatic solutions.
• Support post-acquisition integration and corporate governance matters as required.
• Advise on a broad range of corporate and strategic initiatives across the region.

The role is well suited to candidates currently practising at a top-tier international law firm, as well as those with relevant in‑house corporate/M&A experience.

Key Responsibilities

• Advise on domestic and cross-border M&A transactions, strategic investments, divestments, and joint ventures.
• Lead the drafting, review, and negotiation of transaction documentation, including share purchase agreements, investment agreements, and ancillary documents.
• Partner closely with business leaders, finance, tax, and external counsel throughout the transaction lifecycle.
• Conduct and coordinate legal due diligence, identify key risks, and provide commercially pragmatic solutions.
• Support post-acquisition integration and corporate governance matters where required.
• Advise on a broad range of corporate and strategic initiatives across the region.

Requirements

• Qualified lawyer with 7–10 years' PQE.
• Strong M&A and corporate transactional experience gained at a top-tier international law firm and/or within a multinational corporate legal team.
• Proven experience advising on cross-border transactions.
• Commercially astute with excellent drafting, negotiation, and stakeholder management skills.
• Able to thrive in a fast‑paced, international environment.
