Job summary

Hudson Talent Solutions is assisting a fast-growing Singapore-headquartered client in renewable and low-carbon fuels. The role reports to the CSIO and offers broad, high-autonomy responsibility across regional and cross-border matters for a commercially minded lawyer.

The successful candidate will draft and negotiate a wide range of commercial contracts, manage trade documentation, support M&A and fundraising activities, and oversee governance and compliance frameworks in a scaling,

Qualifications

• LL.B (or equivalent) with admission to the Singapore Bar.
• 3+ PQE gained in a strong law firm and/or in-house legal function.
• Experience with cross-border regulatory and commercial matters is required.
• Experience with banking and finance documentation and related securities is a plus.

Responsibilities

• Draft, review and negotiate the full spread of commercial contracts across supply, offtake, distribution, logistics, services, licensing, NDAs and agency arrangements.

Job description

Our client is a fast-growing, Singapore-headquartered player in the renewable and low-carbon fuels space,With an integrated value chain spanning collection and storage, processing and refining, the group operates across a growing number of markets in Asia-Pacific and the Middle East — and is scaling quickly as demand for sustainable fuels accelerates.

This is a newly standalone role reporting directly to the Chief Strategy & Investment Officer — a genuinely broad, high-autonomy seat for a commercially minded lawyer who wants ownership rather than a narrow lane, within a business on a steep growth (and eventual capital-markets) trajectory.

Responsibilities

Reporting to the CSIO, you'll be the group's go-to legal adviser across a wide regional and cross-border remit, with external counsel supporting on specialist and subsidiary-level matters.

• Draft, review and negotiate the full spread of commercial contracts — supply, offtake, distribution, logistics, services, licensing, NDAs and agency arrangements
• Own day-to-day physical commodities trade documentation — purchase and sale agreements, trade confirmations, purchase orders and standard terms — and advise trading teams on live contractual issues (Incoterms, title and risk, quality/quantity, force majeure, washouts and similar)
• Advise on the contractual side of trade finance and shipping/logistics documentation — letters of credit, bank guarantees, bills of lading, letters of indemnity, storage and terminal agreements
• Support M&A and investment activity end to end — structuring, due diligence, SPAs, shareholder and JV agreements — plus ongoing support to regional associates and joint ventures
• Provide legal input across fundraising and bank facility arrangements, and help ready the group for its future capital-markets and IPO ambitions
• Take carriage of disputes and pre-action matters, coordinating arbitration and external counsel as needed
• Strengthen governance, compliance and policy frameworks — anti-bribery, sanctions screening, conflicts, delegation of authority and whistleblowing — and build practical templates and playbooks
• Manage cross-border legal risk and external counsel across the group's operating markets, keeping legal spend efficient
• LL.B (or equivalent) with admission to the Singapore Bar
• 3+ PQE gained in a strong law firm and/or in-house legal function
• Physical commodities / trade documentation experience — ideally built in or supporting a trading house
• Comfortable turning around high-volume commercial contracts at commercial pace, alongside a track record in corporate and M&A work
• Working familiarity with banking and finance documentation (facility agreements and associated security); exposure to fundraising, capital markets or commercial arbitration is a plus
• Commercially minded and pragmatic on risk, comfortable operating independently and driving matters to conclusion
• Energy, commodities, agri-commodities, biofuels or broader sustainability-sector exposure would be an advantage
• Additional regional language ability relevant to the group's markets is welcome
• Able to work to deal timetables and juggle competing priorities in a fast-scaling environment
