Job summary

PASONA SINGAPORE PTE. LTD. seeks a Japanese-speaking Senior Manager/Manager for Corporate Planning in the CBD, offering a hybrid work setup (2 days WFH, 9:00-18:00). The role focuses on group governance, policy management, and close alignment with the headquarters in Japan.

You will support APAC group companies, organize governance forums, and oversee corporate actions across multiple entities, collaborating with lawyers, accountants, and auditors.

Qualifications

• Business-level Japanese language capability to communicate with Japanese-speaking clients and stakeholders in APAC group companies and HQ in Japan.
• Experience in planning, governance, compliance, policy management, or corporate administration.
• Strong stakeholder management and coordination skills.

Responsibilities

• Group Company Management: Support and coordinate APAC group companies to ensure alignment with client's headquarters and regional governance standards.
• Governance & Compliance: Strengthen and maintain governance frameworks across APAC entities; ensure adherence to corporate policies and internal controls.
• Corporate Administration & Policy Management: Draft, review, and maintain internal policies and procedures; drive standardization of corporate processes.
• Board & Shareholder Meeting Organization: Organize Board of Directors meetings, shareholder meetings, and regional governance forums; prepare materials and reports.
• Corporate Actions: Work with Legal, Tax, Finance to address complex corporate challenges; structure and execute corporate actions including capital optimization, financing, and share transfers.

(Japanese-Speaking) Senior Manager / Manager - Corporate Planning

Group Company Management

• Support and coordinate APAC group companies to ensure alignment with client's headquarters and regional governance standards.
• Act as a key liaison between the client's Asia, APAC group companies and headquarters in Japan.
• Monitor and facilitate organisational, operational, and reporting alignment across entities.
• Support regional entities in addressing corporate and operational affairs.

Governance & Compliance

• Strengthen and maintain governance frameworks across APAC entities.
• Support implementation and monitoring of corporate policies, internal controls, and compliance requirements.
• Ensure group companies adhere to corporate governance standards and internal policies.
• Coordinate governance-related matters with internal stakeholders and external partners where required.

Corporate Administration & Policy Management

• Draft, review, and maintain internal policies and procedures.
• Drive consistency and standardization of corporate processes across the organization.
• Support continuous improvement of corporate operations and compliance practices.

Board & Shareholder Meeting Organization

• Organize Board of Directors meetings, shareholder meetings, and regional governance forums.
• Prepare and consolidate meeting materials, reports, presentations, and supporting documentation.
• Closely communicate with Corporate Secretary to keep legal compliance.

Corporate Actions

• Work closely with Legal, Tax, Finance and Accounting teams, identify and solve complex corporate challenges involving multiple stakeholders and functions.
• Structure, prepare documentations and execute corporate actions including but not limited to capital optimization, financing, and share transfers.

Job Requirements

• Minimum 10 years of relevant experience.
• Experience working within a Regional HQ, Global HQ, or multinational organisation.
• Experience supporting group companies in multiple countries.
• Exposure to planning, governance, compliance, policy management, or corporate administration.
• Ability to communicate effectively with various business professionals, including but not limited to lawyers, accountants, corporate secretaries, tax advisors and auditors.
• Strong stakeholder management and coordination skills.
• Attention to detail and quantitative accuracy.
• Business-level Japanese language to communicate with Japanese-speaking clients and stakeholders in APAC group companies and headquarters in Japan.

• Minimum 15 years of relevant experience.
• Proven experience managing complex governance and corporate affairs across multiple entities.
• Strong understanding of group company management and corporate operations.
• Experience partnering with senior leadership and headquarters stakeholders.
• Ability to independently manage regional governance initiatives and cross-border stakeholder relationships.
• Ability to lead various business professionals including but not limited to lawyers, accountants, corporate secretaries, tax advisors and auditors.
• Attention to the details and quantitative accuracy.
